RELEASE OF LIABILITY AND ASSUMPTION OF RISK

BY SIGNING THIS DOCUMENT, I HEREBY WAIVE CERTAIN LEGAL RIGHTS, INCLUDING, WITHOUT LIMITATION, THE RIGHT TO SUE JHS BEGINS, LLC, an Arizona limited liability company (hereinafter referred to as the "Company"), and its members, managers, employees, contractors, instructors, agents, insurers, affiliates, successors, and assigns (“Releasees”).

The undersigned individual (hereinafter "I," "me," or "myself") desires to participate in a wellness-related program offered by the Releasees, which may include, without limitation guided meditation and breathwork, yoga and mobility exercises, physical movement sessions or other fitness routines (collectively, the “Activities”) provided by the Company, either on-site, at an off-site location, which may occur indoors or outdoors, and may involve varying levels of physical, mental or emotional intensity. In consideration of being permitted to participate in the Activities, and intending to be legally bound, in recognition of the Company's reliance hereon, I acknowledge, agree, represent, and warrants as follows (this "Release"):

ACKNOWLEDGMENT AND ASSUMPTION OF RISK: I acknowledge and fully understand that participating in the Activities involves inherent and foreseeable risks, as well as unforeseeable risks, which may include, without limitation, physical injury (such as sprains, strains, muscle soreness, loss of consciousness, cardiac events, or falls); psychological or emotional responses (including anxiety, emotional distress, trauma release, or discomfort arising from meditation, breathwork, or introspective practices); illness, temporary or permanent disability, property damage, and even death. These risks include, but are not limited to: Loss of balance or falls during yoga or physical movement; Breathing irregularities, dizziness, or emotional overwhelm during breathwork or meditative sessions; Adverse physical reactions triggered by stretching; Participation in outdoor or shared spaces that may not be under the control of the Company and may contain environmental hazards or distractions.

I also understand that my participation may take place in group settings where other participants are simultaneously engaging in similar or varied Activities. I acknowledge and accept that I may be physically, emotionally, or psychologically affected by the actions, conduct, energy, communicable health conditions, or behavior of other participants, including but not limited to unintentional contact, emotional expression, improper use of shared equipment, failure to follow instructions, or disruptive behavior. I further understand that such group settings may involve the shared use of physical spaces, props, water tubs, mats, or other equipment, which may not be sanitized between uses and may carry inherent health or hygiene risks.

I acknowledge that the Company cannot and does not guarantee the condition, behavior, health status, or compliance of other participants, nor can it eliminate all risks that may arise from shared participation or communal environments. I understand that the Company disclaims any responsibility for the actions or omissions of other participants or any third parties present at the venue.

I voluntarily assume all risks associated with such group-based participation, shared space usage, or third-party conduct, whether foreseeable or not, and whether arising from the negligent acts or omissions of other participants, third parties, or the ordinary negligence of the Company or its personnel. I agree that the Company shall have no liability for any loss, injury, illness, or damage resulting from such circumstances to the fullest extent permitted by law.

I understand and accept that the Company cannot eliminate or control all risks associated with the Activities, despite maintaining safety standards, providing professional instruction, and taking all reasonable measures. I knowingly assume full responsibility for any and all risks, whether known or unknown, anticipated or unanticipated, and regardless of the cause, including those arising from the ordinary negligence of the Company or any Releasee or otherwise. I understand that the Company cannot guarantee my safety or prevent all risks, including (without limitation) those risks described above. I accept full responsibility for any injury, loss, damage or death that may occur as a result of my participation in the Activities.

REPRESENTATIONS AND WARRANTIES: I represent and warrant that I am at least eighteen (18) years of age, legally competent to enter into this agreement, and participating voluntarily and of my own free will. I further represent that I am not under the influence of alcohol, illegal drugs, or any substance (including prescription or over-the-counter medications), that could impair my alertness, judgment, cognitive ability, or physical coordination during the Activities. I further affirm that I do not suffer from any medical, physical, emotional, psychological, or sensory condition (including but not limited to cardiovascular conditions, respiratory issues, seizure disorders, mobility limitations, severe anxiety, or other impairments) which would render my participation unsafe or unreasonably dangerous to myself, the Company’s staff, others, or that would reasonably increase the risk of injury, illness, or distress during the Activities. If I have been prescribed or have been advised to use any corrective devices such as glasses, hearing aids or orthopedic braces, I will wear them at all times during all Activities. I understand that I must immediately notify the Company or its staff of any change in my health or physical or emotional condition that could affect my safe participation, including the onset of dizziness, nausea, shortness of breath, panic, disorientation, or other adverse reactions. If at any point I feel unwell, unsafe, or unable to continue, I will promptly inform the Company’s staff and voluntarily remove myself from the Activity. I agree to comply with all safety protocols, health guidelines, session instructions, and behavioral expectations communicated by the Company, whether in oral, written, electronic, or posted form. This includes any rules regarding proper use of facilities, shared equipment, attire, hydration, hygiene, and respectful behavior toward others. I understand that failure to comply with such rules or directives may, at the Company’s sole discretion, result in immediate removal from the Activity or premises, forfeiture of any paid fees, and/or permanent denial of future participation. I further acknowledge that I may be held financially responsible for any property damage, loss, or disruption caused in whole or in part by my negligent, reckless, or willfully improper actions, including misuse of equipment, violation of safety rules, or failure to disclose relevant health conditions. This includes damage to facilities, wellness equipment, or third-party property, and may include reimbursement for repair costs, replacement, administrative fees, or other related expenses. I understand and accept that refusal to follow staff instructions or Company policies may result in my immediate exclusion from participation and release the Company from any obligation to refund, reschedule, or accommodate me.

RELEASE OF LIABILITY: I hereby expressly waive, release, and discharge any and all claims, whether known or unknown, foreseen or unforeseen, that I may have now or in the future against the Company and its Releasees, arising out of or in any way related to my participation in the Activities. This release includes, without limitation, any claims arising from or related to physical, emotional, or psychological injury; property damage; illness; medical expenses; lost wages; emotional distress; or wrongful death, whether caused by accident, environmental conditions, participation in breathwork, yoga, movement-based practices, or other components of the program. This release expressly applies to claims based on the ordinary negligence of the Company or its Releasees, including any alleged negligent instruction, supervision, facility maintenance, equipment condition, or emergency response. I understand and agree that this waiver is intended to release the Company and its agents from liability to the fullest extent permitted under applicable law. This release does not apply to claims arising from gross negligence, willful misconduct, or any other liability that cannot legally be waived under Arizona law. In all other respects, this Release shall be interpreted and enforced to the maximum extent permitted by law.

LIMITATION OF LIABILITY: To the fullest extent permitted by applicable law, I agree that neither the Company nor any of its Releasees shall be liable to me, or to any other person claiming through me, for any indirect, incidental, special, exemplary, punitive, or consequential damages of any kind. This includes, but is not limited to, damages for personal discomfort, emotional distress, lost opportunities, lost enjoyment, or interruption of personal plans or routines, whether arising under contract, tort (including negligence), equity, or any other legal or equitable theory, and whether or not such damages were foreseeable. I further agree that the total liability of the Company and its Releasees, if any, for any claims arising directly or indirectly out of my participation in the Activities or any services provided in connection therewith shall not exceed the total amount I have actually paid to the Company for the specific program or event giving rise to such claim.

COVENANT NOT TO SUE: To the fullest extent permitted by law, I agree that I will not initiate, pursue, or assist in bringing any lawsuit, legal proceeding, or claim against the Company or any of its Releasees for any injury, harm, loss, or damage arising out of or relating to my participation in the Activities, regardless of whether such injury or harm is alleged to have been caused by the ordinary negligence of the Company, its personnel, or any third party. I understand and acknowledge that this is a knowing and voluntary promise not to sue, and that it is intended to be legally binding. I further agree that this covenant not to sue shall be enforceable in any court of competent jurisdiction and shall apply to me and to any person or entity acting on my behalf, including heirs, assigns, executors, representatives, or insurers.

INDEMNIFICATION: I agree to indemnify, defend, and hold harmless the Company and its Releasees from and against any and all claims, demands, actions, damages, losses, liabilities, judgments, settlements, costs, and expenses (including, without limitation, reasonable attorneys’ fees and costs) arising out of or relating to: My participation in the Activities; My presence at any event location or facility; My breach of any representation, warranty, or agreement in this Release; or any negligent, reckless, intentionally harmful, or otherwise wrongful act or omission committed by me. This indemnification obligation applies regardless of whether the claim is brought by me, a third party, or anyone acting on my behalf, and regardless of whether the Company is alleged to be partially negligent. I agree that this obligation survives the completion of the Activities and remains binding to the fullest extent permitted by law.

CONSENT TO MEDICAL TREATMENT: I hereby authorize and consent to the administration of emergency medical care, first aid, or other treatment deemed advisable or necessary by the Company, its staff, volunteers, or any licensed medical personnel or emergency responder in the event I experience an injury, illness, or medical condition during the Activities. I understand and agree that such care may include, but is not limited to, onsite response, transportation to a medical facility, and any treatment determined to be necessary under the circumstances. I acknowledge that the Company is not a medical provider and does not undertake any duty to render or ensure the provision of medical services. I further agree that I am solely and fully responsible for all costs associated with any such emergency medical care, including but not limited to physician services, hospitalization, diagnostic testing, medication, ambulance or emergency transport, and follow-up treatment. To the fullest extent permitted by law, I release and discharge the Company and its Releasees from any and all claims, causes of action, or liability related to the provision, attempted provision, or failure to provide emergency care or medical assistance during or following my participation in the Activities.

PUBLICITY: I hereby irrevocably grant to the Company and its officers, directors, employees, contractors, agents, licensees, successors, assigns, affiliates, and authorized representatives (collectively, the “Authorized Parties”) the unrestricted right, permission, and license to capture, use, reproduce, edit, modify, publish, display, distribute, and otherwise exploit my name, image, photograph, video or audio recording, likeness, voice, biographical information, statements, and testimonials (collectively, “Likeness”) in connection with the Company’s events, services, and promotional or educational activities. This grant of rights includes use in all forms and media, whether now known or hereafter developed, including but not limited to printed materials, brochures, websites, social media platforms, email campaigns, online courses, mobile applications, video or audio presentations, livestreams, advertisements, and any other marketing, promotional, commercial, or instructional materials (collectively, “Materials”). I understand and agree that: The Authorized Parties may edit, composite, or alter the Materials without restriction and without my inspection or approval; The Materials may be used for internal purposes, external marketing, commercial distribution, or any lawful business purpose, worldwide and in perpetuity; and the Authorized Parties may sublicense these rights to third-party partners, media outlets, affiliates, or contractors in connection with the Company’s operations. I acknowledge and agree that I shall not be entitled to, and hereby waive any and all rights to, royalties, fees, compensation, or other consideration in connection with the use of my Likeness in the Materials. I further waive any and all rights of publicity, privacy, or other rights of a similar nature that may be associated with such use, and release and discharge the Company and all Authorized Parties from any and all claims arising out of the use or publication of my Likeness. If I do not wish to be included in any Materials, I understand that it is my sole responsibility to notify the Company in writing and in advance of the Activities, and that such notice must be acknowledged by the Company in writing to be effective. Absent such written objection and acknowledgment, this release shall remain binding, irrevocable, and fully enforceable.

GENERAL PROVISIONS: This Release constitutes the entire, complete, and exclusive agreement between me and the Company with respect to the Activities and supersedes any and all prior or contemporaneous oral or written agreements, representations, negotiations, understandings, or communications between the parties concerning the subject matter herein. No oral statements or other written materials not specifically incorporated into this Release shall be of any force or effect. If any provision of this Release is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be modified or limited to the extent necessary to make it enforceable or, if not possible, severed from the Release. In either case, all remaining provisions shall remain in full force and effect and shall be construed so as to best effectuate the original intent of the parties. This Release is binding upon me and my heirs, executors, administrators, legal representatives, assigns, and any other person or entity who may assert a claim on my behalf or through me. I understand and agree that this Release shall survive my completion of or withdrawal from the Activities. This Release shall be governed by, construed in accordance with, and enforced under the laws of the State of Arizona, without regard to its conflict of law principles. Any claim, dispute, or cause of action arising out of or relating to this Release or the Activities shall be brought exclusively in a court of competent jurisdiction located in Maricopa County, Arizona. I hereby consent and submit to the personal jurisdiction of such courts and waive any objection based on venue or forum non conveniens.

BY SIGNING BELOW, I ACKNOWLEDGE THAT I HAVE CAREFULLY READ THIS RELEASE IN ITS ENTIRETY, FULLY UNDERSTAND ITS TERMS, AND AGREE TO BE LEGALLY BOUND BY IT. I AM AWARE THAT BY SIGNING THIS DOCUMENT, I AM GIVING UP CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE THE COMPANY OR ITS AFFILIATES IN CERTAIN CIRCUMSTANCES. I AFFIRM THAT I AM AT LEAST EIGHTEEN (18) YEARS OF AGE, OF SOUND MIND, AND LEGALLY COMPETENT TO EXECUTE THIS AGREEMENT VOLUNTARILY AND WITHOUT RELIANCE ON ANY STATEMENTS OR REPRESENTATIONS OTHER THAN THOSE CONTAINED HEREIN.
